Guidelines for Derivative Works
Introduction
We have established these guidelines so that fans who support our members can create “derivative works” with peace of mind and enjoy the activities of the members even more. As long as you follow these guidelines, there is no need to contact us individually when creating derivative works of our content. We will not exercise copyright or other rights with respect to any use that does not conflict with these Guidelines.
Contents Subject to these Guidelines
These Guidelines apply to all works created by fans based on content produced by us and official VTubers.
Please do not reproduce the original content in its entirety.
Persons Subject to these Guidelines
These guidelines are applied to individuals and groups that do not have legal personality. However, for any legal entities, please contact us individually.

Conditions for Using these Guidelines
1. It is assumed that you have agreed to these guidelines when you publish derivative works and clip videos of our content.
2. These guidelines apply to non-commercial purposes only.
* Profit against the cost of production is considered non-commercial in scope.
* Please refrain from creating derivative works for commercial purposes
(including preparatory activities) without our prior consent.
1. We make every effort to ensure that our members are comfortable in their delivery activities, so we prohibit the following types of content.
- Contents that make our members and creators feel uncomfortable.
- Contents that go against the spirit and purpose of our content.
- Contents that significantly damage the image of our company and our affiliated members.
- Contents that damage the honour or dignity of a third party.
- Contents that misrepresent or mislead as if they are official content.
- Contents that violate public order and morals or are anti-social.
- Contents that contain specific ideas, religious or political content.
- Others that our company deems inappropriate.
About Derivative Works
- Derivative works such as publishing illustrations, manga, videos, distributing fanzines, cosplay activities, can be conducted within the scope of fan activities. However, the production and sale of goods, processing, quotation, and diversion of our copyrighted materials are prohibited as outside the scope of derivative work activities.
- Please indicate that the derivative works are unofficial and the original copyright holder is our company. Please do not use our official logos.
- If our company determines that your activities fall under the category of business activities, we may suspend the sales activity.
- It is assumed that you have agreed without prior confirmation that there is a possibility that our company and our affiliated members may use your derivative works based on these guidelines, including SNS and thumbnails, free of charge. (We will consult with you in advance if we are going to use your works as official goods.)
- Our company allows VTubers to stream freely.Therefore, VTubers may not respond to messages during the streaming, especially those of a personal or offensive. Derivative works that promote slander and libel against VTubers may be requested to be removed immediately.
About Derivative Works
The following rules apply to clip videos.
- Please comply with the rules and regulations of the platform where you post clip videos.
- It is possible to cut out the distribution made on each platform such as YouTube, but please refrain from creating and publishing clip videos when multiple people are participating as speakers such as Twitter Spaces.
- Please be sure to include the URL of the original video for which you are creating the clip, and please include the VTuber's name, part of it, or nickname to clarify which content is being used.
- Please do not let the audience misunderstand that it is an official clip video.
- Please refrain from publishing clip videos until the original distribution is completed.
- If the clip video contains copyrighted material that is not owned by our company, please check the guidelines of the copyright owner before creating the video. Please note that we are not responsible for any damage caused between you and the copyright holder as a result.
- It is prohibited to clip limited distribution or paid content.
- If the original archive is no longer publicly available, be sure to delete or unpublish your clip videos as well.
- Please do not post unedited clip videos, which are only clipped and not creative, on YouTube, bilibili, and etc. You can post unedited clip videos only on Twitter.
- Some members may prohibit clipping.
- If we deem it inappropriate, we may request for deletion. In that case, please respond promptly.
- As long as you comply with the above rules regarding clip videos, comply with the terms of use of the video posting site used, comply with the "terms of use for content owned by third parties" included in the original video, and other related terms, you can use monetization functions, including advertising revenue from partner programs provided by video sharing platforms such as YouTube and Nico Nico Douga.
Other Precautions
- These guidelines are subject to revision without prior notice. Please always check the latest version.
- Please note that we are not responsible for any damages caused by these guidelines and revisions.
- Regardless of the contents of these guidelines, we may ask you to stop using the service if we deem it necessary. In addition, if there is a request from a copyright holder other than our company, we may request the suspension of use on behalf of the copyright holder.
- These guidelines shall be governed by the laws of Japan, and in the unlikely event that a dispute arises between you and our company, the Tokyo Summary Court or Tokyo District Court shall be the exclusive jurisdiction court of the first instance.
- These guidelines shall be interpreted only in Japanese. If there are any discrepancies in interpretation due to translation into other languages, the Japanese language shall take precedence.
